The domain name www.graucy.com (“Website”) is an e-commerce portal owned and operated by Umbrella Mart Pvt Ltd (“Umbrella Mart”), a company incorporated under the laws of India, having its registered office at No 1469, Amudhan Nilayam, Vijinapura, Doorvaninagar post, Bengaluru 560016.

These Terms of Use (“Terms”) govern your use of the graucy.com services, including graucy.com’s website, graucy.com’s mobile applications, and any websites (or portions thereof) or mobile applications that are operated by graucy.com (collectively, the “MarketPlace”, “Platform”), and are entered into by you and Umbrella Mart Pvt Ltd (“Graucy.com”).

It is strongly recommended that you read and understand these Terms carefully, as by accessing this site you agree to be bound by the same and acknowledge that it constitutes an agreement between you and the Company (hereinafter the “User Agreement”). If you do not agree with this User Agreement, you should not use or access the Marketplace for any purpose whatsoever and please do not click on the ” I Accept” button/check box and on the “Continue” button or “Pay Now” button and do not subscribe or seek to obtain access to or otherwise use the Website.

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of www.graucy.com website.

Umbrella Mart Pvt Ltd reserves the right to delete, modify, or supplement the content of the Website at any time for any reason without prior notification, and will use reasonable efforts to include up-to-date and accurate information on the Website.

A failure on our part to exercise or enforce any right or provision of these Terms of Use does not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, it shall not invalidate the rest of the Terms of Use which shall remain in full force and effect, and we shall try to give effect to the intention as reflected in the provision. We may assign the agreement between us pursuant to the Terms of Use in whole or in part in its sole discretion without your consent and without notice. Nothing in this Agreement shall prevent us from complying with the law and applicable regulations. You agree that no joint venture, employment, or agency relationship exists between you and the Company as a result of these Terms of Use or from your use of the marketplace or the services.

By using the Services, you agree to be bound by these Terms and acknowledge and agree to the collection, use and disclosure of your personal information in accordance with Graucy.com’s Privacy Policy.

DEFINITION

The Website is provided as a service to users and is intended to allow users to browse and order products and other goods or services (“Products”) offered for sale on the Website (“Services”).

“Agreement” means the terms and conditions as detailed herein including all schedules, appendices, annexures, Privacy Policy, Disclaimer and will include the references to this Agreement as amended, supplemented, varied or replaced from time to time.

“You”/ “User” shall mean the end user accessing the Website, its contents and using the services offered through the Website.

“Umbrella Mart”/ “we”/ “us”/ “our” shall mean Umbrella Mart Pvt Ltd, a Company incorporated in India under the provisions of Companies Act, 1956 operates the Internet e-commerce website www.graucy.com (or any successor site) and its related sub-domains, sites, Services and tools (“Website”).

“Customer”/”Buyer” shall mean the person or any legal entity who access the Website and places an order for and or purchases any products /services against the invitation of offer for sale of products / services on the Website.

“Kirana Stores “, “Kirana shop”, shall mean a small, neighborhood store that displays and sells a variety of items right from groceries like grains and pulses to sanitary items  like soaps, shampoos, detergents to processed foods, frozen foods, edible items and a lot more. Kirana store also requires a trade license in order to carry out the business and to conduct trading of the goods.

“Acceptance” shall mean your affirmative action in clicking on “checkbox and on the “continue button as provided on the registration page or clicking on

“Pay Now” button while transacting as User or such other actions that implies your acceptance.

“Delivery” shall mean the physical delivery of goods under your order placed with us

“Graucy Dost” a community based delivery model introduced by graucy.com shall mean individuals who volunteer to join as a delivery Partner with graucy.com to deliver the products/services to their  trusted friends and neighbors.

“Price” means the price communicated at the time of order and confirmed by us.

“Bid”/Bidding” is an offer(often competitive) to set a price by an individual or business for a product or service or a demand that something be done. Bidding is used to determine the cost or value of something.

“Reverse Auction” / “RA”  means is a type of auction in which the roles of buyer and seller are reversed. In a reverse auction, the sellers compete to obtain business from the buyer and prices will typically decrease as the sellers underbid each other.

“Payment Facility” shall mean applicable mode of payments made available to User from time to time.

“Content” means all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code collectively By impliedly or expressly accepting this User Agreement, Policies and Terms, You also accept and agree to be bound by Rules, Policies and Terms of Umbrella Mart  as provided from time to time in its Website and corresponding hyperlinks.

YOUR USE OF THE SERVICES

The Services comprise a marketplace that presents you with a list of items from which you can select products,  place your bid and finally do shop selection and place order based on the lowest bid price point obtained from the local vendors. Delivery services include you to self-pick up in-store or use Graucy Dost .

When you use the Services to place an order for products, you authorize the purchase and delivery of those products from the Kirana Shops you select. Unless otherwise specified, you acknowledge and agree that Graucy.com and the Third Party Providers are acting as your agents in the picking, packing, and/or delivery of goods purchased by you and are not the seller of the goods to you. You agree that your purchase is being made from the retailer (hereinafter “Kirana Shops”) you have selected, that Kirana shops  is the merchant of record, and that title to any goods passes to you when they are purchased at the applicable Kirana Shops’s store.

You agree that Graucy.com will obtain a card authorization for your credit card, debit card and net banking, etc. on file with Graucy.com to cover the cost of the goods you have purchased from the kirana shops and any separate Graucy.com fees, and your credit card, debit card, net banking etc will be charged for the goods purchased by you and any applicable fees, taxes and/or tips. Your payment options through various instrument(s) or mode(s)  may be temporarily authorized for an amount greater than the total amount of the purchase appearing in the original check out. This higher authorized amount will be disclosed during the purchase process and is a temporary authorization charge on your order, to deal with situations where your total purchase amount turns out to be higher than the original amount due to special requests, added items, replacement items or weight adjustments.

You also acknowledge and agree that, except as expressly provided for otherwise in these Terms or a separate agreement between you and Graucy.com, Graucy.com does not form any employment or agency relationship with you and does not hold title to any goods that you order through the Services.

Unless otherwise indicated, all prices and other amounts are in the currency of the jurisdiction where the delivery takes place.

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions that may relate to pricing, product descriptions, promotions offers, and availability. Graucy.com reserves the right to correct any errors, inaccuracies or omissions and to change or update information or refuse or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your order and/or your credit card, debit card, net banking has been charged). Please note that prices of products on the Services may be different than prices offered for the same products in-store by the same Kirana shops

We’re constantly modifying and improving the Services. Graucy.com may introduce new features, change existing features, or remove features from the Services at any time and without notice. If you provide Graucy.com with any feedback on or comments regarding the Services, you grant Graucy.com the right to use such feedback or comments for any purpose without restriction or payment to you.

If you have any requests for order cancellations, refunds, or returns, please visit your account to initiate such requests or review our Help Center articles for our policies regarding the same.

USER’s LIABILITY

In order to use the Services, you may need to create a user account. You agree that you are responsible for all conduct and transactions that take place on or using your account and that you will take precautions to keep your password and other account information secure. Graucy.com assumes no liability to any person for any loss or damage which may arise as a result of any failure by the user in protecting the user’s password or Account. If Graucy.com has reason to believe that there is likely to be a breach of security or misuse of the Website,  Graucy.com may require the user to change the user’s password or Graucy.com may suspend the user’s account without any liability and prior intimation. If we have reasonable grounds to suspect violation of these Terms of Use or that registration information you have provided is untrue, inaccurate, outdated, or incomplete, we may terminate your account and refuse current or future use of any or all parts of the Graucy.com marketplace.

Any user account so created is personal to the user, and the user may not transfer it to another person. User’s registration or order shall be complete after the user accepts the Terms. The Terms will apply each time a user submit an order for any Products on the Website.

By registering and using the Website, user warrants that the information provided by user in the course of the registration process or in the course of submission of order for any Products on the Website is true accurate, current, and complete in all respects and user undertakes to ensure that such information is kept up-to-date and agrees that such information shall be treated as per the Privacy Policy.

You also agree that you will comply with all applicable laws when accessing or using the Services and you will respect those who you encounter in your use of the Services, including Graucy Dosts and individuals who support Graucy.com’s Help Center. Graucy.com reserves the right to decline orders, refuse partial or full delivery, terminate accounts, and/or cancel orders at any time in its sole discretion.

REVERSE AUCTION AND BIDDING POLICY

Buying products under our “Reverse Auction” model in the Website shall be made as per our Reverse Auction and Bidding policy mentioned herein.

The Reverse Auction Model comprises a marketplace that presents you to select items and place your bid with Graucy.com marketplace. Multiple prospective suppliers will under bid each other and compete to obtain your order within the specified bid time.

The Buyer will get Notification from the supplier  to see who is willing to offer the lowest price point.  The Buyer selects a shop winner based on lowest bid price or chooses his/her favorite Shop and places an order for buying.  Once the Buyer completes  the full payment transaction and confirmation, the successful Bidder or the  shop winner will get order confirmation notification.  The supplier will pack the items for the Buyer.

Buyer Responsibilities:

  1. The Buyers are responsible to ensure that the order done by them is in compliance with graucy.com terms and conditions and other order terms and conditions notified by Graucy.com from time to time.
  2. The users (in all capacities i.e. as Buyer, Customer ) are responsible to ensure that the order done in compliance with graucy.com Terms and Conditions and all order related transactions are completed  within  time  lines  prescribed in graucy.com Reverse Auction and bidding terms.
  3. The Buyers must ensure that they are the authorized user owner to enter into bidding with Supplier (s) on graucy.com failing which such individual(s) shall be individually liable for its actions and also for any liability arising out of such actions.
  4. While placing orders on graucy.com, the buyers shall judiciously search and shortlist items using filters such as item names, quantity, delivery option etc. as per their approved requirements.
  5. The Buyer shall satisfy themselves that the price of the selected offer is reasonable.
  6. The Buyers should not exercise any corrupt influence on any aspect of bidding and commit to take all measures necessary to prevent corruption maintaining complete transparency and fairness in all activities related to graucy.com
  7. Buyers are not allowed to place any order at graucy prices outside Graucy Marketplace. The prices on graucy.com marketplace are only applicable if the buying of items is  made  through graucy marketplace. Using graucy prices for buying outside the graucy Marketplace is strictly prohibited. Further, Buyers are not allowed to place any off-line contract/arrangement to the Supplier directly based on the outcome of e-Bidding / Reverse Auction conducted on graucy.com. All such contracts/arrangements shall be treated  as null and  void and graucy.com the right to delete all data related to such transactions from graucy.com database besides taking suitable actions against such Buyers including suspension and removal from graucy.com.
  8. All purchases via Bid by buyers are subject to nominal commission and shall be paid to graucy.com at the time of Purchase.
  9. The Buyer has the right to reject the bid prior to or during the bid process.
  10. Graucy.com reserves the right to refuse any Buyer the privilege of bidding on the auction and may revoke such privilege at any time.
  11. All bidding price “FINAL”
  12. All orders will be completed on successful bidding only.
  13. Graucy.com shall not be liable for any inaccurate bidding price.
  14. Graucy.com assumes no responsibility or any liability once a bid transaction passes, which occurs at time of payment in full.
  15. Graucy.com reserves the right to cancel the bid in the event Buyer does not accept bid price within the time specified.
  16. In any case of dispute the Graucy.com decision shall be final
  17. Graucy.com is providing the Bid Services as a convenience to prospective buyers and in no way is this to be considered an exceptional right, any disruption in the broadband network and or phone lines that may disrupt the internet bidding service will not be held against Graucy.com. There is a potential risk of bids being missed due to system lags or human errors that can happen in real time, the buyer acknowledges this risk and agrees that Graucy.com will not be held liable in any fashion whatsoever.
  18. Time is of the essence; If Buyer fails to make payment within the time periods provided, Buyer shall be liable for the shortfall and all costs expenses.
  19. Your Successful Bid cannot be transferred or assigned. Graucy.com reserves the right to accept, refuse, or cancel your bid at any time in its sole discretion.
  20. Delivery of the products to the Buyer via Bid will be fulfilled per auction and only upon full payment.
  21. Deliveries made via Express Bid Plan are subject to availability of products.
  22. Graucy.com may change other terms or conditions applicable to Bidding Policy from time to time. In that case, Graucy.com will provide you with notice at checkout of the changes and when those changes will take effect. If you disagree with the changes to your current Graucy.com Bidding terms of service, you may cancel your Bidding.
  23. Bid Plans

Express Bid Plan: Place an order by 3 pm and get order delivered by 10 PM on 0+1 day. This will attract an additional convenience fee.

Standard Bid Plan: Place an order by 6 pm and get order delivered by 10 PM on 0+2 days.

PRICING

Most of the products listed on the Site will be sold at MRP and some of loose items like pulses, atta, rice, sugar etc packed locally do not have MRPs printed on it,  such items will be sold as City Reference Price. In case the prices are higher or lower on the date of delivery due to market fluctuation, no additional charges will be collected or refunded as the case may be at the time of the delivery of the order.

ACCEPTANCE OF THE TERMS

Your use of the Graucy.com marketplace is subject to these Terms of Use, which may be updated from time to time without notice to you. These Terms of Use apply to your use of the Graucy.com marketplace. The use of any other product or service offered by the Company or the Service Providers, through the Platform may be governed by separate terms and conditions devised either by the Company or the Service Provider, as the case may be. Your acceptance of the Terms of Use is valid, binding and constitutes the entire agreement between us (irrespective of whether you are a user of or visitor to the Graucy.com marketplace). These Terms of Use supersede all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Graucy.com marketplace, and the services that are provided to you through the Graucy.com marketplace.

ELIGIBILITY

By using the Graucy.com marketplace, you represent and warrant that: (a) you are fully able, competent and authorized to enter into the terms, conditions, obligations, representations and warranties set forth in these Terms of Use ; (b) all registration information you submit is truthful and accurate; (c) you will maintain the accuracy of such information; (d) have attained the age to legally accept these Terms of Use as per the laws applicable to you and/or at your location, or the age of 18 years, whichever is higher; and (e) your use of the Graucy.com marketplace does not violate any applicable law or regulation. Use of the Graucy.com marketplace is void where prohibited. In the event, the Company discovers that you are a competitor of the Company or the Platform, the Company reserves the right to restrict or remove your access to the platform, without any notice to you.

CONTENT AND PRIVACY

We are concerned about your privacy and have developed a policy to address privacy concerns. Any personal information or your business information collected on the Graucy.com marketplace may be accessed and stored globally and will be treated in accordance with our Privacy Policy. You are solely responsible for the content that you create or store on the Graucy.com marketplace, along with the consequences of its transmission, by you. You are further responsible for ensuring that you do not accidentally make any private content publicly available. The Service Providers understands that any content that they receive through the use of the Graucy.com marketplace is provided to them on a “AS IS” basis and they undertake not to use or otherwise exploit such content for any commercial purpose without the express written consent of the person who owns the rights to such content. We make no warranties, express or implied, as to the accuracy or reliability of the content or any material or information that you (including Service Provider) receive through the Graucy.com marketplace. You represent and warrant that the content you create and store on the Graucy.com marketplace does not violate any applicable law, rule or regulation or third party rights, including copyright, trademark, privacy, publicity, or other personal or proprietary rights, breaches or conflicts with any obligation, such as a confidentiality obligation, or contains libelous, defamatory, or otherwise unlawful material. You agree to indemnify us against any claims against us arising out of your content. You agree not to use, display or share your content or any data in a manner inconsistent with these Terms of Use, Privacy Policy, or any applicable law, rule or regulation. We are not under any obligation to keep back-up copies of the content once your account is deleted. To be safe, you should independently back-up your content, to the extent permitted herein and by applicable laws, rules and regulations. Graucy.com marketplace may also provide you with the ability to modify any of your content. You acknowledge and agree that you are solely responsible for any modifications you may make and the same is required to be in accordance with applicable law.

CONTENT AVAILABLE

You acknowledge that the Company does not make any representations or warranties about the Content which you may have access to as part of the services, or through your use of this marketplace. Under no circumstances, the Company is liable in any way for any Content, including, but not limited to: any infringing Content, any errors or omissions in Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted, linked from, or otherwise accessible through or made available via the marketplace. You agree that you are solely responsible for your reuse of Content made available through the marketplace.

GRAUCY.COM COMMUNICATIONS

By creating an Graucy.com user account, you agree to accept and receive communications from Graucy.com, including via email, text message, calls, and push notifications to the mobile number you provided to Graucy.com. You understand and agree that you may receive communications generated by automatic telephone dialing systems and/or which will deliver pre recorded messages sent by or on behalf of Graucy.com, its affiliated companies, including but not limited to communications concerning orders placed through your account on the Services. Message and data rates may apply. If you do not wish to receive promotional emails, text messages, or other communications, you may opt out of such communications at any time in Your Account Settings. You may also opt-out of receiving text messages from Graucy.com by replying “STOP” from the mobile device receiving the messages.

There is some level of risk that information in such communications could be read by an unintended third party. By using the Services to order a product, you explicitly disclaim any liability against Graucy.com for any harm or damage arising out of or in connection with any SMS messages, push notifications and/or other electronic notifications.

THIRD-PARTY PRODUCTS AND CONTENT

Additionally, we may provide hyperlinks though the Graucy.com marketplace, or any other form of link or redirection of your connection to other sites and mobile applications (“Third Parties”). Links to these Third Parties are provided solely for your convenience and in no way does the inclusion of any link on the Marketplace or Services imply our affiliation or endorsement of the linked site, their business practices (including their privacy policies) or any information therein.  You agree that Graucy.com does not assume responsibility for any products, content, services, websites, advertisements, offers, or information that is provided by third parties and made available through the Services. If you purchase, use, or access any such products, content, services, advertisements, offers, or information through the Services, you agree that you do so at your own risk and that Graucy.com will have no liability based on such purchase, use, or access. You release us, our officers, employees, agents and successors from claims, demands and damages of every kind or nature arising out of or related to any disputes with other users and / or third parties. We may provide you with certain ancillary services such as testimonies, blogs and reviews for the Services. Subject to any applicable laws, any communication shared by you via the Platform or through the blogs, reviews or otherwise to us (including without limitation contents, images, audio, financial information, feedback etc. collectively “Feedback”) is on a non-confidential basis, and we are under no obligation to refrain from reproducing, publishing or otherwise using it in any way or for any purpose. You shall be responsible for the content and information contained in any Feedback shared by you through the Platform or otherwise to us, including without limitation for its truthfulness and accuracy. Sharing your Feedback with us, constitutes an assignment to us of all worldwide rights, titles and interests in all copyrights and other intellectual property rights in the Feedback and you authorize us to use the Feedback for any purpose, which we may deem fit

PROHIBITED ACTIVITIES

You agree not to use the Graucy.com marketplace for illegal, harmful, misleading, fraudulent or other malicious purposes or to post, disseminate or communicate any unlawful, defamatory, obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter or for the transmission of material that contains viruses or other malicious code, or that which infringes or may infringe intellectual property or other rights of another. You agree not to use the Services for the transmission of “junk mail”, “spam”, “chain letters”, “phishing” or unsolicited mass distribution of email. You agree not to modify or create a derivative work of any part of the Services, You shall indemnify us for any claim, loss, damages or liability arising out of or as a result of your misuse of the Graucy.com marketplace or the Services. Despite these prohibitions, content communicated by other users of the Graucy.com marketplace may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and we assume no responsibility or liability for this material. Without assuming any obligation to do so, we may delete any Content or suspend any account associated with it, that we have reasonable grounds to believe violates the Terms of Use, any applicable law, or that may be offensive or illegal, or violate the rights, harm, or threaten the safety of any person.

INACTIVE ACCOUNTS POLICY

We reserve the right to disable or deactivate unpaid user accounts that are inactive for more than 60 days. In the event of such termination, all data associated with such an account may be deleted. We will provide you prior notice of such termination by email.

ANTI-SPAM POLICY

You certify that you will use the services in accordance with these Terms of Use. You are forbidden to transmit unsolicited commercial email or SMS (spam) by using the Services offered through the Marketplace. Additionally, you are required to reconfirm (permission pass) or stop mailing an existing list when it is determined to be in violation of our anti-spam policy. Repeated violations or failures to comply with this anti-spam policy will result in termination of your access to the Services. You agree and acknowledge that we shall not be held liable for any claim that may arise due to your violation of this anti-spam policy.

MONITORING

We reserve the right (but have no obligation) to monitor all activities on your account to ensure compliance with the Terms of Use and applicable law.

DISCLAIMER OF WARRANTIES

We do not warrant that: (a) the Graucy.com Marketplace  will meet your specific requirements; (b) the services on the Graucy.com Marketplace will be uninterrupted, timely, secure, or error-free; (c) the results that may be obtained from the use of the Graucy.com Marketplace will be accurate or reliable; (d) the quality of any products, services, information, or other material purchased or obtained by you through the Graucy.com Marketplace will meet your expectations; and (e) any errors on the Graucy.com Marketplace will be corrected.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE MARKETPLACE AND THE SERVICE IS ENTIRELY AT YOUR OWN RISK AND THAT THE MARKETPLACE AND THE SERVICES THEREIN ARE PROVIDED ON THE SERVICES ARE PROVIDED ON  AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRAUCY.COM DISCLAIMS ALL REPRESENTATIONS, CONDITIONS, AND WARRANTIES, EXPRESS, LEGAL, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRAUCY.COM MAKES NO REPRESENTATION, WARRANTY, CONDITIONS, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES, ANY SERVICES PROVIDED BY KIRANA SHOPS OR THIRD PARTY PROVIDERS, OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES FROM KIRANA SHOPS, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. GRAUCY.COM DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF KIRANA SHOPS, OR THIRD PARTY PROVIDERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, ANY SERVICES PROVIDED BY KIRANA SHOPS OR THIRD PARTY PROVIDERS, OR ANY PRODUCTS REQUESTED BY YOU OR DELIVERED TO YOU, REMAINS SOLELY WITH YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT NEITHER GRAUCY.COM NOR ITS AFFILIATES, RETAIL PARTNERS, LICENSORS, OR SUPPLIERS IS RESPONSIBLE FOR THE FITNESS OR CONDUCT OF ANY KIRANA SHOPS OR THIRD PARTY PROVIDER OR FOR ANY SERVICES PROVIDED BY ANY KIRANA SHOPS OR THIRD PARTY PROVIDER. THE COMPANY MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES OR THE MARKETPLACE’S CONTENT OR THE DETAILS AND CONTENTS SHARED BY THE RETAILERS OR THE SERVICE PROVIDERS OR THE CONTENT OF ANY THIRD PARTY WEBSITES LINKED TO THE MARKETPLACE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE MARKETPLACE  AND SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE MARKETPLACE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, COMMUNICATED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE MARKETPLACE OR THE SERVICE. THE COMPANY DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE MARKETPLACE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND THE COMPANY WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND/OR OTHER RETAILERS AND/OR SERVICE PROVIDERS AND/OR THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. YOU UNDERSTAND AND ACKNOWLEDGE THAT THE PRODUCTS AND THE SERVICES AVAILABLE ON THE MARKETPLACE ARE PROVIDED SOLELY BY THE SERVICE PROVIDERS AND THE MARKETPLACE IS NOT RESPONSIBLE OR LIABLE FOR THE QUALITY, QUANTITY OR THE NATURE OF SUCH PRODUCTS AND SERVICES. ANY ADVICE, CONSULTATION, REPORTS, DOCUMENTS OR DETAILS PROVIDED OR REQUESTED BY THE SERVICE PROVIDERS, THROUGH THE MARKETPLACE, IS SPECIFIC TO SUCH SERVICE PROVIDER AND THE MARKETPLACE OR THE COMPANY IS NOT PRIVY TO THIS INTERACTION BETWEEN YOU AND THE SERVICE PROVIDERS. THE COMPANY OR THE MARKETPLACE SHALL NOT BE HELD LIABLE OR MADE A PARTY TO ANY OF THE TRANSACTION OR CLAIM WHICH YOU MAY HAVE OR RAISE AGAINST THE SERVICE PROVIDERS. THE MARKETPLACE DOES NOT PROVIDE ANY GUARANTEE OR WARRANTY FOR THE PRODUCTS AND SERVICES OFFERED BY THE SERVICE PROVIDERS. THE MARKETPLACE ALSO DOES NOT GUARANTEE CONTINUED ACCESS TO THE MICRO APPLICATIONS OWNED AND OPERATED BY THE RESPECTIVE SERVICE PROVIDERS. THE MICRO APPLICATIONS SHALL HAVE THEIR OWN POLICIES, YOU AGREE AND UNDERTAKE TO READ, UNDERSTAND AND ADHERE TO SUCH POLICIES. WE DO NOT GUARANTEE SECURITY OF YOUR DATA OR INFORMATION, WHICH YOU SHARE WITH THE SERVICE PROVIDERS, THROUGH THEIR MICRO APPLICATIONS.

If you have a dispute with one or more Kirana Shops or Third Party Providers, you agree to release Graucy.com (including Graucy.com’s affiliates, and each of their respective officers, directors, employees, agents, shareholders, retail partners, licensors, and suppliers) from any claims, demands and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected to such disputes.

LIMITATION OF LIABILITY

You expressly understand and agree that Graucy.com, its affiliates and subsidiaries, and their respective officers, directors, agents, co-branders or other partners, and employees shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (a) the use or the inability to use the Graucy.com Marketplace; (b) the cost of procurement of substitute products and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Graucy.com Marketplace; (c) unauthorized access to or alteration of your transmissions or data; (d) statements or conduct of any third party on the Graucy.com marketplace; (e) or any other matter relating to the Graucy.com marketplace. Your sole and exclusive remedy for any dispute regarding the Graucy.com marketplace, with us or any of the persons detailed above shall be termination of your relationship with us . We have no responsibility to your service providers or their actions, and shall not be liable for any claims which may arise out of your relationship with your retailers. You shall indemnify us against any claims which may out of your interactions with your retailers or actions of your retailers pursuant to your use of the Graucy.com marketplace.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Graucy.com, its affiliates and subsidiaries, and their respective officers, directors, agents, co-branders or other partners, and employees and its third party service providers from and against any claim, demand, loss, damage, cost, or liability (including reasonable attorneys’ fees) arising out of or relating to: (a) any Content you submit, post, transmit, or make available through the Graucy.com Marketplace or any other service provided by us; (b) your use or misuse of the Graucy.com Marketplace; (c) your connection to and use of the Graucy.com Marketplace; (d) your breach or alleged breach of these Terms of Use; or (e) your violation of any rights (including intellectual property rights) of a third party.

CHANGES TO THE Graucy.com Marketplace

We reserve the right at any time (and from time to time) to modify, suspend, or discontinue providing the graucy.com Marketplace or any part thereof with or without notice. We will not be liable to you or to any third party for any modification, suspension or discontinuance of the Graucy.com Marketplace.

AMENDMENT OF THESE TERMS OF USE

We may amend, modify, change, add or remove portions of these Terms of Use at any time without notice to you. The latest Terms of Use will be posted on the Marketplace, and you should review the Terms of Use each time before you use the Graucy.com Marketplace. By continuing to use the Graucy.com Marketplace, you are presumed to have notice of the latest version of the Terms of Use.

TERM AND TERMINATION

You may terminate your account and end your use of the Graucy.com Marketplace at any time. We have the right (at our sole discretion and without any liability to you) for any reason to: (a) delete, disable or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Graucy.com Marketplace; (b) remove and discard any Content within any account or anywhere on the Graucy.com Marketplace; or (c) shut down an account, with or without notice. If you terminate your account, we will have no obligation to refund you any fees you may have paid. Upon deactivating your account, these Terms of Use terminate and your access rights to the Graucy.com Marketplace immediately cease to exist. Our rights survive the termination of these Terms of Use.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms of Use shall be governed by the laws of the Republic of India without giving effect to any principles that may provide the application of the law of another jurisdiction. Any controversy or claim arising out of or relating to these Terms of Use shall be settled by binding arbitration in accordance with the requirements of the Arbitration and Conciliation Act, 1996 of India, as amended from time to time. The venue of the arbitration shall be Bengaluru, India and the sole arbitrator shall be appointed by us. The decision of the sole arbitrator shall be final and unappealable. Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our rights in any court of competent jurisdiction. Subject to the above, the courts of law situated at Bengaluru, Karnataka, India shall have exclusive jurisdiction to try any dispute arising under these Terms of Use.

FORCE MAJEURE

Notwithstanding anything provided herein, under no circumstances the Company or this Marketplace  is liable for any damage or loss due to deficiency in performance of the Services or this Marketplace  resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, change in law, government order or regulations, other equipment failures, electrical power failures.

Payment Gateway and Payment Policy

Graucy.com offers you multiple payment options both online and offline; however, Graucy.com reserves its right to add or delete any mode of payment without any prior notice.

The Graucy.com makes available a Payment Gateway through its approved payment processing provider(s). As a Service Provider, your use of the Payment Gateway will be subject to receiving an approved status by the Company and/or the payment processing provider(s), fulfilling the documentation and other requirements of the approved payment processing provider(s) and adhering to the terms and conditions of use prescribed by the payment processing provider(s). This is done in the interest of providing a safe online shopping environment to our users. Please contact us at support@graucy.com to understand if you qualify to avail of this service. You acknowledge and understand that the payment gateway services made available through the Graucy.com Marketplace are owned, controlled and provided by the payment processing provider(s) and hence, the Company does not warrant and in no way will be liable for the timeliness of such services and the handover of payments through such services.

In cases where payment is attempted but remains unsuccessful and a successful charge slip does not get generated, you shall make the payment in cash for that particular order. In certain cases though you may receive a payment confirmation sms from your bank, the amount generally gets reversed in the same account. You may raise the incident with the customer care number on the back of the card to reverse the amount in case of unreasonable delay, Graucy.com will not be responsible for such failed attempts due to any network or technical reasons. We on our part, upon request of the customer, after due verification with our back end team may give a written confirmation of the non-receipt of payment for you to appropriately take up with the card issuing bank..

Buyer acknowledges that Graucy.com will not be liable for any damages, interests, claims etc. resulting from not processing a transaction or any delay in processing a transaction which is beyond control of Graucy.com.

All payments made against the purchases of products on Website by you shall be in Indian Rupees only. Websites will not facilitate transaction with respect to any other form of currency with respect to the purchases made on Websites.

Graucy.com reserves its right to change the price of any product in the Website any time without any notice. Prices stated at the time an order is placed shall apply in respect to that order. .

Who You Are Buying From

The Graucy.com acts as a marketplace medium to allow users and Service providers, who comply with these Terms of Use, to connect with each other and enable transactions between them. When a user purchases a product or a service from a hosted Service Provider, Graucy.com will be handling the transaction and collecting payment on behalf of the Service Provider. The use of any product or service offered by the Service Providers through the Graucy.com Marketplace may be governed by separate terms and conditions devised by the Service Providers.

Eligibility Criteria

The services and products offered on the Graucy.com Marketplace are not available to persons under the age of 18 or to anyone previously suspended or removed from the platform by the Company. By accepting these Terms & Conditions or by otherwise using the platform, You represent that You are at least 18 years of age and have not been previously suspended or removed from the Platform. You represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. You shall not impersonate any person or entity, or falsely state or otherwise misrepresent identity, age or affiliation with any person or entity.

Pricing and Availability

The Graucy.com Market offers a convenient and secure way to make payments towards products bought from the retailers on the marketplace. But the Company is not a warrantor, insurer, or guarantor of the products to be provided by the retailers. The Company does not control the inventory or its availability and pricing. Any disputes regarding the purchased product  must be handled directly between the buyer and the retailer. If the amount you pay for a product or service is incorrect regardless of whether because of an error in a price posted on the marketplace or otherwise communicated to you, the Company will have the right to cancel that transaction and refund to you the amount that you paid. This will apply regardless of whether this is because of any human error or a transactional malfunction on the market.

Graucy.com reserves its right to refuse to process transactions by buyers with a prior history of questionable charges including without limitation breach of any agreements by buyer with Graucy.com or breach/violation of any law or any charges imposed by bank or breach of any policy. Graucy.com may do such checks as it deems fit before approving the buyer’s order ) for security or other reasons at the discretion of Graucy.com. As a result of such a check if Graucy.com is not satisfied with the credibility of the Buyer or genuineness of the transaction, it will have the right to reject such order. Graucy.com may delay dispatch or cancel any transaction at its sole discretion, if Graucy.com is suspicious of any Buyer’s authenticity or activity or if the Buyer is conducting high transaction volumes, to ensure safety of the transaction.

Graucy.com reserves the right to impose limits on the number of transactions which Graucy.com may receive from an individual valid credit/debit/bank account and reserves the right to refuse to process transactions exceeding such limit.

Billing Information Verification

In using the Graucy.com Market to pay for products/services, you agree to: Provide true, accurate, current and complete information about yourself and your account information. If you provide any information that is untrue, inaccurate, not current or incomplete, or the Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, the Company has the right to suspend or terminate your account and refuse any and all current or future use of the marketplace (or any portion thereof). The Company assumes no responsibility and shall incur no liability if it is unable to complete the payment on Payment Date owing to any one or more of the following: (a)If the Payment Instruction(s) issued by you is/are incomplete, inaccurate, invalid and delayed. (b)If the Payment Account has insufficient funds/limits to cover for the payment amount. (c)If your Bank refuses or delays honoring the Payment Instruction(s) (d) If payment is not processed by the Service Provider upon receipt. (e)Circumstances beyond the control of the Company (including, but not limited to, fire, flood, natural disasters, bank strikes, power failure, systems failure like computer or telephone lines breakdown due to an unforeseeable cause or interference from an outside force) In case the transaction payment is not effected for any reason, you will be intimated about the failed payment by an e-mail or via a message on the Graucy.com app/website or SMS Some transactions will be processed only after a billing address, and other billing information, has been verified. Occasionally, we receive incorrect billing or credit card account information for transactions that can delay processing and delivery. In these cases, Graucy.com customer service will attempt to contact you, using the information provided at the time of purchase. If the Company is unable to reach you after its initial attempt, the Company may cancel your transactions.

Internet handling fees and Order Processing Fees

Products and services purchased on Graucy.com may be subject to a per transaction internet handling fee and a non-refundable per order processing fee. The Company and/or the Service Providers on the marketplace reserve the right to charge a service fee or any other additional charge from the user, in addition to the fees for availing the products or services. Fees structure can be revised by the Company or Service Providers hosted on the platform.

You can look for a specific item entering few native words in English (eg. Chawal in hindi, akki in kannada for rice)  on the graucy search box and we’ll show you all the matching results.

Express Bid Plan: Place an order by 3 pm and get order delivered by 10 PM on 0+1 day. This will attract an additional convenience fee.

Standard Bid Plan:Place an order by 6 pm and get order delivered by 10 PM on 0+2 days.

Finally submit to know City Reference Price.

Choose the Graucy store you prefer and confirm your order (Only pre paid orders accepted)

You will get 48 hours to complete the order. Orders completed by 3 PM, will be delivered the same day

Order Confirmation

You can place your order with us on our Website and choose any of our payment modes made available to you.  If you do not receive a confirmation number (in the form of a confirmation page or email or SMS or in-app notification) after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to confirm the same from your transaction history or with the Customer Service Department whether or not your order has been placed. Only you may be aware of any problems that may occur during the purchase process. The Company will not be responsible for losses (monetary or otherwise) if you assume that an order was not placed because you failed to receive confirmation.

Orders will be processed for shipment/delivery upon location provided by the user.

Minimum order value

The minimum order value will be Rs.1000.00 (rupees one thousand only). The minimum charges and the delivery charges are mentioned on the app and web at the checkout page.

Invoicing Collection & Payments

Graucy will generate, digitally print and issue an invoice for the purchased Product to the Customers from the graucy portal. At times, the Invoice may contain some additional shipping, or any other charges charged to the Customer based on the graucy’s policy from time to time.

Delivery/Shipment of Product:


Delivery of the Products under your Order in the Website shall be made as per our Delivery/shipment policy mentioned herein. Title of the Product shall pass on to you upon receipt of payment.

Delivery services include self pick or home delivered – arranged by local stores or by Gruacy dost.

  1. At the time of taking delivery of the products, You shall quote the Order No. and OTP at the Delivery Point.
  2.  The person at the Delivery Point authorized to deliver the product may decline to deliver the product if he finds any inconsistency as regards Order No. or OTP or any other detail of the order
  3. It is your responsibility to count and check all the products while accepting the Products as per your Order. No dispute will be entertained by Graucy.com once you accept the products at the Delivery Point.
  4. We request you to check all the Products at the time of delivery. Complaint pertaining to short weight will not be entertained, if the complaint is not lodged immediately at the time of delivery.

Shipping Charges:

Shipping charges are to be borne by the customer.

Delivery charge will be leviable for each delivery depending on the order parcel weight.

Timelines: We will make every effort to get your order delivered to you as per your convenient/ chosen available slot.

Cancellation, Replacement, Refund, Dispute Policy

All Sales are final.

Kindly provide OTP once you are satisfied with the order.

Important thing to note is that we will not entertain any exchange/refund/return once you share the mobile delivery OTP to our i) Graucy Dost for home delivery or ii) Store owner on self-pickup

Grocery items is non-returnable due to consumable nature of the product.

No refund on issue for example on situations : change of mind or just don’t like the item. But, we are willing to help on you on exchange for only branded packed items.

Before making any purchases on the Graucy.com marketplace, carefully review your transaction details. The Company will be unable to process exchanges or refunds after a product or service has been purchased or for lost, stolen, damaged or destroyed products, unless the Service Provider refund policy allows for it. Cancellation of Order can’t be done/accepted once the products under your order are released for dispatch/ shipped out from our delivery location.

No cash refund.

No order cancellation post confirming delivery.

All orders will be shipped post successful payment.

Shipping charges are to be borne by the customer

Graucy will not be responsible on missing parcel / lateness due to delivery partner. However our SSM will help you on the process to track and enquire on your parcel.

Customer Satisfaction:

At graucy we believe that we can work together with our customers to make every purchase a positive experience.

We do give importance to quality and take feedback given by our customers, and any non-compliance of quality by shop vendors will be flagged and potentially lead to the suspension of stores from graucy website.

We endeavour to provide the best quality products every single time you order with us.

Refund eligibility depends on the Service Provider offering the goods/ service on Graucy.com Market. Individual Service Providers on the Graucy.com Market can have different refund policies. In case it is applicable, refund policy of the individual Service Providers will supercede the generic Refund policy of Graucy.com. The Buyer can write to us at support@graucy.com or chat with Graucy.com support on our app for any of the issues pertaining to refund, chargeback, dispute, unfulfilled order, etc. Our support team would actively engage the concerned Service Provider and connect the Buyer to resolve the same. The policy applies to the products or services where payment has been made via Graucy.com. All Refunds, if allowed, will be credited back to the payment instrument used by the Buyer to complete the payment. It will take 3-21 days for the money to show in your bank account depending on payment participants involved in the payment, including, but not limited to your bank, payment gateway, bank used by payment gateway. In case of delay in refund getting credited to your bank account or any other payment instrument used by you to complete the payment, the Graucy.com support team has the right to ask for bank account details to resolve the issue with the payment gateway. The Graucy.com support team can ask you to raise a chargeback with your bank in case there is no resolution or if the money is not credited by your bank to your account. The Buyer agrees to cooperate with the team and follow the process to raise a chargeback to resolve the issue. The Company is not responsible for any delay in the process of raising the chargeback and the Buyer agrees not to hold the Company liable for the delay in the same. We do not make any cash refunds.

ALL RETURNS, EXCHANGE AND CANCELLATION OF PRODUCTS ARE SUBJECT TO MANUFACTURER’S WARRANTIES AND THE INVOICE TERMS AND CONDITIONS.

Return to sender parcels

If your products are returned to us because you haven’t taken delivery, we will contact you to let you know.  If the product has been returned to us as a result of our error, we will re-send the product to you for no extra charge.

If you provide an incorrect delivery address and the order is returned to us, or you fail to take delivery, we will either:

Redeliver the product to the correct address, if provided, subject to payment of additional delivery costs, or:

  1. refund the value of the product (excluding delivery costs) dependent on whether it remains in a resalable condition. You will be responsible for any additional charges incurred including re-delivery costs.
  2. If the order is not returned to us, you will not be eligible for a refund or re-delivery. graucy accepts no responsibility for deliveries made to incorrect or incomplete addresses provided by customers. In this case, you will need to place a new order with the correct details.
Terms of Promos and Credits

We offer a number of promotions and other incentives at any given time, each with their own individual terms. For example, we offer a referral rewards program to our users who recommend our services to their contacts as prospective customers, when those prospective customers sign up for, and make a purchase using our Services. Your intentional participation in any of the programs, benefits, or other offerings will be interpreted as affirmative consent to the terms of such incentive.
